Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DukaMax POS mobile application ("the App"), developed and maintained by Bary-Tech ("we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

By creating an account and using DukaMax, you confirm that:

• You are at least 18 years of age or the legal age in your jurisdiction to enter into a binding agreement.
• You are using the App for legitimate business management purposes.
• You have read and understood both these Terms and our Privacy Policy.

2. Description of the Service

DukaMax POS is a mobile point of sale and business management application that provides the following features:

• Point of Sale (POS): Processing sales, generating receipts, barcode scanning, and supporting multiple payment methods (cash, M-Pesa, card, split payments).
• Inventory Management: Tracking product stock, managing categories, low stock alerts, expiry tracking, and restock records.
• Customer Management: Storing customer information, tracking purchases, and managing debt records.
• Financial Reporting: Sales trends, profit analysis, expense tracking, and exportable PDF reports.
• SMS Notifications: Sending sale receipts and daily reports via SMS.
• Cloud Backup: Optional backup to Google Drive and data sync to Google Sheets.
• Multi-User Support: Admin and Cashier roles with different permission levels.
• Multi-Language: English and Swahili language support.

3. User Accounts

3.1 Account Creation

When you first install DukaMax, a default administrator account is created. You are responsible for:

• Changing the default credentials immediately after first login.
• Maintaining the confidentiality of your login credentials.
• Managing cashier accounts and their access levels responsibly.

3.2 Account Security

You are solely responsible for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account or any other security breach.

4. Acceptable Use

You agree to use DukaMax only for lawful purposes and in accordance with these Terms. You shall not:

• Use the App for any illegal, fraudulent, or unauthorized purpose.
• Attempt to reverse engineer, decompile, or disassemble the App.
• Modify, adapt, or create derivative works based on the App.
• Use the App to store or transmit malicious code or content.
• Interfere with or disrupt the integrity of the App or its underlying systems.
• Use the SMS features for unsolicited messaging or spam.

5. Data & Backup Responsibility

• Bary-Tech does not store, access, or maintain copies of your data on our servers.
• In the event of device failure, loss, theft, factory reset, or app uninstallation without a prior backup, Bary-Tech shall not be held responsible for any data loss.
• We strongly recommend performing cloud backups at least once daily.

6. Intellectual Property

The DukaMax application, including but not limited to its source code, design, logos, interface, features, and documentation, is the intellectual property of Bary-Tech and is protected by applicable copyright and intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal business management purposes.
• This license does not grant you any rights to use our trademarks, logos, or brand assets without prior written consent.
• You may not redistribute, resell, or sublicense the App.

7. Third-Party Services

DukaMax integrates with third-party services that are subject to their own terms:

• Google APIs (Drive, Sheets, Sign-In): Subject to Google's Terms of Service and Privacy Policy.
• Device SMS Service: SMS messages are sent using your device's native SMS capability. Standard carrier charges may apply.

We are not responsible for the availability, accuracy, or conduct of any third-party services.

8. Fees & Pricing

DukaMax POS is currently offered as a free application. We reserve the right to introduce paid features, subscriptions, or premium tiers in the future. Any changes to pricing will be communicated in advance through the app and/or this website.

9. Disclaimer of Warranties

• We do not warrant that the App will be error-free, uninterrupted, or free of harmful components.
• We do not warrant the accuracy of any calculations, reports, or data outputs generated by the App.
• You are responsible for verifying the accuracy of all financial reports and business data.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Bary-Tech, its directors, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, business opportunities, or goodwill.
• Any damages arising from device failure, data loss, or inability to access the App.
• Any damages resulting from third-party service interruptions (e.g., Google Drive outages).

11. Indemnification

You agree to indemnify, defend, and hold harmless Bary-Tech and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to terminate or suspend your access to the App at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the App is immediately revoked.
• You should export or back up any data you wish to retain before uninstalling the App.
• Provisions of these Terms that by their nature should survive termination shall remain in effect.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on this page. Your continued use of the App after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the App shall be resolved in the competent courts of Tanzania.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bary-Tech regarding the use of the DukaMax application.
